1. Who these terms are between

Zaki ("Zaki", "we", "us") is operated by Moshe Zaudi, an individual sole trader (עוסק פטור) registered in Israel, registered at Rafiah Yam 24, Netivot, Israel, company number to be confirmed.

These Terms of Service ("Terms") are a binding agreement between you and Moshe Zaudi. They govern your use of the Zaki mobile application and any related services (together, the "Service").

By creating an account or using the Service you accept these Terms. If you do not accept them, do not use the Service.

Our Privacy Policy and AI Content Policy form part of these Terms.

2. Eligibility — you must be 17 or older

The Service is rated 17+. You may use it only if you are at least 17 years old and have the legal capacity to enter into a contract where you live. If the age of digital majority where you live is higher than 17, that higher age applies to you.

You confirm your age when you create an account. If we learn that an account holder is under the required age, we will close the account and delete the associated data.

The Service is not designed for, marketed to, or intended for children.

3. Your account

You sign in with Apple or Google. You are responsible for keeping access to that sign-in method secure, and for everything done through your account.

One person, one account. You may not sell, rent, share or transfer your account, and you may not create additional accounts to obtain additional free trials or to evade enforcement action.

4. What the Service does

Zaki turns text prompts, and optionally images you provide, into short videos using third-party AI models. In outline:

1. You write a prompt, optionally attach an image, and choose a quality tier or a specific model.
2. Your prompt may be automatically translated into English and expanded into a fuller description before generation. This is on by default and can be turned off.
3. The request is checked by an automated moderation classifier.
4. The request is sent to the model provider you selected, via our infrastructure provider OpenRouter.
5. The resulting video is stored in your library, where you can watch, download, share or delete it.

Output is generated automatically and is not reviewed by a human before it reaches you. See section 12.

Video generation is a probabilistic process. The same prompt can produce different results, results may not match your intent, and a model may fail or refuse. This is inherent to the technology and is not a defect in the Service.

5. Credits

The Service runs on credits. Every generation costs a number of credits, shown to you before you start it.

5.1 Credits have no cash value

Credits are a prepaid entitlement to use the Service. They are not money, not currency, not a stored-value instrument, and not property.

• Credits have no cash value and cannot be exchanged for cash.
• Credits are non-transferable. They cannot be sold, gifted, traded or moved between accounts.
• Credits are non-refundable, except where refund is required by applicable law — including mandatory consumer rights in the European Union — or where these Terms provide otherwise (see 5.4 and 5.5).
• We may change what a given generation costs in credits as model prices change. Any change applies to future generations only; it never retroactively re-prices credits you have already spent.

5.2 Plan credits reset monthly

Each subscription plan includes a monthly allowance of credits.

• Plan credits are granted at the start of each billing period.
• Unused plan credits do not carry over. They expire at the end of the billing period and are replaced by the new period's allowance.
• If your subscription ends, unused plan credits are lost.

5.3 Top-up credits roll over

Top-up packs are purchased separately from your plan.

• Top-up credits roll over from period to period and do not expire while your subscription is active.
• If your subscription lapses, top-up credits are retained but cannot be spent until you subscribe again. We may expire them after to be confirmed of continuous inactivity, after notifying you in advance at your registered email address.
• Spend order: trial credits are used first, then plan credits, then top-up credits. The perishable balance is always spent before the durable one.

5.4 When credits are charged, and when they come back

• Credits are debited when you submit a generation, not when it completes.
• If a generation fails, the credits are refunded to your balance automatically and in full. You do not need to contact us.
• If a request is blocked by moderation — ours or the model provider's — you are not charged. If credits were already debited, they are returned automatically.
• Repeated identical requests submitted within a short window are treated as one request and charged once.

5.5 Free trial

New accounts receive a one-time allowance of free trial credits, limited to the entry quality tier and to short durations. One trial per person. Trial credits have no cash value, are never refundable in cash, and expire when you first subscribe.

6. Subscriptions, billing and cancellation

Subscriptions are sold and billed through the Apple App Store or Google Play, under that store's payment terms.

• Subscriptions renew automatically at the then-current price until cancelled.
• You cancel through the store — Apple or Google — not through us. We cannot cancel a store subscription on your behalf.
• Cancelling stops future renewals. It does not refund the current period, and access continues until the end of the paid period.
• Prices are shown in your local currency and include applicable taxes where the store collects them.
• Refund requests are handled by the store, under that store's refund policy. We do not control those decisions.
• We may change prices. Price changes take effect at your next renewal and only after the notice the relevant store requires.

EU and EEA right of withdrawal. Where you have a statutory 14-day right of withdrawal for digital content, you are asked to consent to immediate performance when you buy. Where you have consented and we have begun performance, the withdrawal right may be lost to the extent permitted by law. Credits you have already spent cannot be restored. Nothing in these Terms removes a withdrawal or refund right that the law gives you and does not allow us to exclude.

7. Your content and your output

7.1 You own what you make

You own the videos you generate with Zaki. We claim no ownership of them.

We do not assert copyright, trademark or any other proprietary right over your prompts, your uploads, or the videos generated for you. Subject to section 8, you may use your output for any lawful purpose, including commercially.

We make no representation that AI-generated output is protectable by copyright in any country. In several jurisdictions, purely machine-generated material may not be. That is a question of law, not something we can grant you.

7.2 The limited licence we need to run the Service

To operate, you grant us a non-exclusive, worldwide, royalty-free licence to host, store, copy, transmit, reformat and process your prompts, uploads and generated videos only for these purposes:

• delivering the Service to you — generating, storing, streaming and letting you download your videos;
• security, abuse prevention and moderation, as described in the AI Content Policy;
• complying with a legal obligation or responding to a valid legal request.

This licence ends when the content is deleted, except for copies retained in backups for the period described in the Privacy Policy, and except where we must retain material to comply with the law.

We do not use your prompts, uploads or generated videos to train AI models, and we do not sell them. We do not publish your content or use it in marketing without your separate, specific consent.

Your prompts and uploads are transmitted to the model provider you choose in order to produce your video. What that provider may do with the material it receives is governed by that provider's terms — see section 8.

7.3 What you promise about what you upload

Each time you submit a prompt or upload an image, you represent and warrant that:

• you own it or otherwise hold all rights necessary to submit it to us and to have it processed as described in these Terms;
• it does not infringe anyone's copyright, trademark, design right, trade secret or other intellectual property;
• where an identifiable person appears in an image you upload, you have that person's consent — and, where that person is a child, the consent of their parent or guardian — to use their image in this way, including for AI generation;
• it does not violate anyone's privacy, publicity, personality or data protection rights;
• it does not breach section 9 (Prohibited uses) or any applicable law.

You are responsible for what you generate. You choose the prompt, the image and the model; you decide whether to keep, download, publish or distribute the result, and you bear responsibility for that use.

8. Model providers — their terms flow through to you

Zaki is a front end to third-party AI models, reached through OpenRouter. When you choose a model, you are also bound by that model provider's terms and acceptable use policy, in addition to these Terms.

That matters in practice:

• Some providers restrict commercial use. A model that is free to use for personal projects may prohibit, or condition, use of its output in advertising or other commercial work.
• Providers run their own safety systems, which may refuse a request that our own moderation allowed. Where that happens your credits are refunded.
• Providers set their own rules on ownership and on how submitted material may be used, and those rules may change.
• Providers may change, restrict or withdraw a model at any time. We may remove a model from the catalogue as a result, without notice.

We show the model behind each quality tier and the real name of every model in the catalogue, so you can check its terms. If your use is commercial, check the terms of the specific model before you rely on its output. We cannot grant you rights that the model provider does not grant us.

Where a provider's terms conflict with these Terms in relation to that provider's model, the provider's terms govern your use of that model and its output.

9. Prohibited uses

You must not use the Service to create, upload, request, store or distribute any of the following. This list is specific on purpose.

1. Child sexual abuse material (CSAM), or any sexualised depiction of a minor — including material generated from an image of a real child, and including stylised, animated or "AI-generated" depictions. This is prohibited absolutely, is reported to the competent authorities where the law requires, and results in immediate and permanent termination.
2. Non-consensual intimate imagery — sexual or intimate depictions of a real, identifiable person created or shared without that person's consent, including "nudify" or undressing use, and including sexualised depictions produced from an ordinary photograph of someone.
3. Impersonation of real people — generating video that depicts a real, identifiable person, living or dead, in a way that suggests it is genuine footage of them, or that they said or did something they did not, without their consent. This includes voice and likeness cloning of public figures.
4. Deceptive political content — synthetic media depicting candidates, elected officials, parties, election officials or electoral processes, presented in a way designed or likely to mislead about a real event, statement or endorsement; content intended to suppress or interfere with voting; and material misrepresenting the conduct of an election or referendum.
5. Harassment, bullying and abuse — content targeting a specific person or group for degradation, intimidation, sexual harassment, threats, doxxing, or hateful attack on the basis of race, ethnicity, national origin, religion, disability, sex, gender identity, sexual orientation or age.
6. Attempts to bypass moderation — prompt injection, encoding, obfuscation, deliberate misspelling, splitting a prohibited request across steps, using an image to smuggle in what a prompt cannot say, exploiting a translation or enhancement step to change the meaning of a request, or automating attempts to find a phrasing that gets through.

You must also not use the Service to:

7. Create material that is unlawful where you are, or that promotes or instructs in serious violence, terrorism, or the making of weapons.
8. Infringe intellectual property, including generating video that imitates a protected character, brand or living artist's likeness in order to pass it off as genuine or endorsed.
9. Commit fraud — including scam advertising, fake testimonials or endorsements presented as real, and synthetic media used to deceive someone into a financial decision.
10. Abuse the free trial, or create multiple accounts to obtain additional free credits.
11. Reverse engineer, scrape, or use automated means to access the Service outside a published interface; interfere with the Service's operation; or attempt to access another user's account or content.
12. Resell or white-label the Service, or provide generation to third parties as your own service, without our written agreement.

Enforcement, reporting and appeals are described in the AI Content Policy.

10. Moderation and enforcement

Requests are screened automatically before generation. Our classifier reads the prompt; an image you attach is screened by the model provider rather than by us. A request that is clearly prohibited is refused, with an explanation, at no cost to you. Model providers apply their own safety systems on top of ours.

Every video in your library has a report button. Zaki has no feed and nothing is shared between accounts, so anything that is not your own video is reported by mail to support@zakiapp.art. Reports are reviewed by a person, and every enforcement decision comes with the written statement described in the AI Content Policy section 6.

Where you breach these Terms we may, proportionately to the breach: refuse a request; remove content; restrict features; suspend your account; or terminate it permanently. Serious breaches — in particular section 9.1 and 9.2 — result in immediate permanent termination and, where the law requires it, a report to the competent authority.

Termination for breach does not entitle you to a refund of a subscription period or of unused credits, except where the law requires one.

11. Video retention

• We retain your generated videos for a minimum of 12 months from generation, and in practice for as long as your account is active.
• You can download any of your videos at any time. Nothing you make is trapped in the app.
• You can delete any video yourself. Deletion is permanent and cannot be undone.
• Two videos cannot be deleted at the moment you ask, and both are temporary:
  • one that is still generating — wait for it to finish or fail, then delete it. Removing a job mid-flight would strand the credits it was charged with nothing left to refund them against;
  • one that is under report — it is held until the review closes, then you can delete it. A complaint whose subject can be deleted by the person complained about is not evidence, and both app stores require us to keep it.

  Neither is a way of keeping your video against your wishes. Ask at support@zakiapp.art if a hold outlasts the review.

• We may change this retention period on 30 days' advance notice, given in the app and by email. A shorter period will never be applied to videos already generated without that notice period first running.
• If you delete your account, your videos are deleted within 30 days, save for one still under report at that moment — see Privacy Policy section 9.4.

Retention of other data is described in the Privacy Policy.

12. The Service is provided "as is"

To the fullest extent permitted by law, the Service is provided "as is" and "as available", without warranty of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement.

Specifically, we do not warrant that:

• output will be accurate, appropriate, safe, original, or fit for any particular purpose;
• output is reviewed before it is delivered to you — it is not;
• output will be free of resemblance to existing works, people or trademarks;
• output can be protected by copyright, or is free from third-party rights;
• the Service will be uninterrupted, timely, secure or error-free, or that any specific model will remain available.

Nothing in this section limits rights you have as a consumer that cannot be limited by contract. In particular, EU and EEA consumer law gives you statutory rights in respect of digital content and services, and those rights apply regardless of this section.

13. Limitation of liability

To the fullest extent permitted by law:

• We are not liable for indirect, incidental, special, consequential, punitive or exemplary damages, or for lost profits, lost revenue, lost data, lost goodwill or business interruption.
• We are not liable for content you generate, for how you use it, or for claims brought by third parties arising from your prompts, your uploads or your output.
• Our total aggregate liability arising out of or relating to the Service is limited to the greater of (a) the amount you paid us in the 12 months before the event giving rise to the claim, or (b) to be confirmed.

These limits do not apply to: death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; gross negligence or wilful misconduct; or any liability that applicable law does not permit to be excluded or limited. Some jurisdictions do not allow certain exclusions, in which case the exclusion applies only to the extent permitted.

Where you are a consumer in the EU or EEA, your statutory remedies for non-conforming digital content — repair, price reduction, or termination — are unaffected by this section.

14. Your indemnity

If you use the Service as a business or professional (not as a consumer), you will indemnify and hold us harmless against claims, damages, losses and reasonable legal costs arising from your breach of these Terms, your prompts or uploads, or your use of generated output — including claims that your upload infringed someone's rights or was used without a depicted person's consent.

Where you are a consumer, this section applies only to the extent permitted by the law that protects you.

15. Our intellectual property

The Zaki application, its name, logo, design, templates, code and catalogue data are ours or our licensors'. These Terms give you a limited, personal, non-transferable, revocable licence to use the app as published. They give you no right to our trademarks or to the software itself.

16. Changes to the Service and to these Terms

We may change, add or remove features, models and quality tiers. We may change these Terms.

For material changes — anything that reduces your rights, changes the credit rules, or shortens the retention period — we will give you at least 30 days' notice in the app and by email before they take effect. Continuing to use the Service after that means you accept the change. If you do not accept it, stop using the Service and, if you wish, delete your account; where the law gives you a right to a pro-rata refund on rejecting a change, that right applies.

Non-material changes — corrections, clarifications, new placeholders filled in — take effect when published.

17. Suspension and termination by you or us

You may stop using the Service at any time and ask us to delete your account, from Settings → Data in the app or by writing to support@zakiapp.art. We act on that request within one month. Deleting your account deletes your videos, as described in the Privacy Policy; it does not automatically cancel a subscription bought through Apple or Google — cancel that through the store as well.

We may suspend or terminate your access for breach of these Terms, for suspected fraud or abuse, where required by law, or if we discontinue the Service. If we discontinue the Service without cause, we will give reasonable notice and a period during which you can download your videos.

Sections 5.1, 7.1, 7.3, 12, 13, 14 and 15 survive termination.

18. App store terms

Apple. These Terms are between you and Moshe Zaudi, not with Apple. Apple has no obligation to provide maintenance or support for the app. Apple is not responsible for the app, its content, or any claim relating to it, including product liability, failure to conform to a legal requirement, or an intellectual property claim. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. Your use of the app must also comply with the Apple Media Services Terms and Conditions.

Google. Your use of the app obtained through Google Play is also subject to the Google Play Terms of Service.

19. Governing law, disputes and consumer protection

These Terms are governed by the laws of the State of Israel, and the courts of the competent courts of Tel Aviv-Yafo, Israel have jurisdiction.

If you are a consumer, this does not deprive you of the protection of the mandatory consumer law of the country where you live. Consumers in Israel, the United Arab Emirates and Poland retain their local statutory rights, including the right to bring proceedings in their local courts where local law provides for it.

Consumers in the EU may use the European Commission's online dispute resolution platform, and may complain to their national consumer protection authority.

20. General

• Severability. If a provision is held unenforceable, the rest remains in effect and the unenforceable provision is applied to the maximum extent permitted.
• No waiver. Not enforcing a provision is not a waiver of it.
• Assignment. You may not assign these Terms. We may assign them to a successor in a merger, acquisition or sale of assets, on notice to you.
• Entire agreement. These Terms, with the Privacy Policy and AI Content Policy, are the whole agreement between us about the Service.
• Language. These Terms are drafted in English. Translations are provided for convenience; in case of conflict the English version governs, except where local law requires that the local-language version prevail.
